These Subscription Terms apply to recurring services provided by Remap Online Pty Ltd (ABN 91 632 013 113) (“Remap”, “we”, “us”) to the customer purchasing those services (“you” or “the Client”).
By subscribing to a Remap service, you agree to these Terms.
- Our services
Remap provides marketing, technology and digital services. These may include digital strategy, AI Search, websites, hosting, advertising, social media, content, email marketing, analytics, AI agents and workflows, automations, knowledge systems, software, digital tools, training, implementation and other services agreed between us.
The particular service you are purchasing, together with its price and billing frequency, will be shown when you subscribe or otherwise agreed with you in writing.
We will provide our services with reasonable care and skill and will work with you in good faith to achieve the agreed objectives.
- Your subscription and payments
Subscription fees are charged in advance using the payment method you provide.
Your subscription will automatically continue and your nominated payment method will be charged on each billing date until the service is cancelled.
Prices are in Australian dollars and GST will be applied where applicable.
If a payment fails or becomes overdue, we may pause the affected service until payment is received.
- Cancel anytime
There is no long-term commitment unless we specifically agree one with you in writing.
You may cancel a recurring service at any time before your next billing date. Your subscription will then end at the conclusion of the period you have already paid for and you will not be charged for the next billing period.
Payments already made for the current billing period are not refundable simply because you cancel part way through that period.
We may also end a service by giving you reasonable notice, or immediately where payment is overdue or continuing the service could create a serious legal, security, platform or reputational risk.
- Working together
To provide the services effectively, you agree to give us reasonable access to the information, accounts, systems, content and approvals we need.
You authorise Remap to take reasonable actions on your behalf within the accounts and platforms required to deliver the agreed services.
You remain responsible for the accuracy and legality of information and materials you provide to us and for complying with laws and industry requirements that apply specifically to your business.
Delays in receiving information, access or approvals may affect our ability to deliver the services.
- Content, accounts and intellectual property
You continue to own the content, branding, data and intellectual property you provide to us.
Once paid for, you may use final content, creative work and other deliverables that we create specifically for you as part of the service.
Remap retains ownership of its pre-existing intellectual property, methodologies, systems, software, templates, prompts, workflows, tools, know-how and other reusable materials used to provide the services.
Unless you tell us otherwise, we may identify your business as a Remap client and use publicly available work produced for your business as examples of our work.
- Third-party platforms and AI
Many Remap services depend on third-party platforms and technologies including Google, Meta, OpenAI, Anthropic, website platforms, advertising networks and other service providers.
We do not control these platforms and cannot guarantee their continued availability, functionality, policies, algorithms or performance.
Some services may also use AI-generated or AI-assisted content, recommendations, analysis, code or other outputs. We will use reasonable care when using these technologies, but they may occasionally produce errors and should not be regarded as infallible.
- Results
We will use our expertise and reasonable efforts to deliver the agreed services, but marketing and technology outcomes depend on many factors outside our control.
Unless we specifically provide a written guarantee for a particular service, we do not guarantee particular rankings, visibility, traffic, leads, sales, revenue, advertising performance or other commercial results.
- Confidentiality, privacy and liability
Both parties will keep confidential information received from the other party confidential and will use it only as reasonably required for the relationship.
We handle personal information in accordance with our Privacy Policy.
Nothing in these Terms excludes rights or guarantees that cannot lawfully be excluded under the Australian Consumer Law or other applicable legislation.
To the maximum extent permitted by law, Remap is not liable for loss, damage, or disruptions caused by third-party platforms, AI systems, software, integrations, outages, policy changes, algorithm changes, account restrictions, or other matters outside Remap’s reasonable control.
Remap is also not liable for indirect or consequential loss, lost profits, revenue, opportunities or data. Remap’s total liability arising from the services is limited to the fees you paid Remap for the affected service.
- General
These Terms, together with the service, price and billing information presented when you subscribe and anything else we expressly agree with you in writing, form the agreement between us.
If there is any inconsistency, a specific written agreement about your service takes precedence over these general Terms.
These Terms are governed by the laws of New South Wales, Australia.
